Terms

These Terms apply to:

• Visitors to our websites

• Users who create an account on our LearnWorlds platform

• Customers who purchase digital courses, memberships, question banks, coaching, or related services

The following additional policies form part of these Terms and are incorporated by reference:

If there is a conflict between these Terms and specific terms shown for a particular course, promotion, or institutional agreement, the specific terms will control for that limited purpose.

You must be:

• At least 18 years old, or the age of majority in your jurisdiction, to purchase courses; or

• 13–17 years old and using the Services only with the consent and supervision of a parent or legal guardian who agrees to these Terms on your behalf.

The Services are not directed to children under 13, and we do not knowingly collect personal information from them.

You are responsible for:

• Providing accurate, complete, and truthful information during registration

• Keeping your login credentials confidential

• All activity that occurs under your account

You must promptly notify us at jade@jadenursing.com of any actual or suspected unauthorized use of your account or breach of security. We are not liable for any loss or damage arising from unauthorized use of your account due to your failure to maintain confidentiality.

We may suspend or terminate your account if we reasonably believe you have violated these Terms, applicable law, or pose a risk to the Services or other users.

When you purchase a Jade NursingPrep™ course, membership, or subscription, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to:

• Access and view the course content for your own individual study

• Download materials only where explicitly permitted by the course interface

• Use the content solely for your personal Nursing Classes preparation,  NCLEX® preparation or professional development

You may not:

• Share your login credentials with any other person or allow others to use your account

• Download, copy, record, or distribute videos, question banks, PDFs, or other materials except where we explicitly permit

• Use our content to create, market, or operate a competing NCLEX® or nursing education program

• Resell, sublicense, or publicly display our content

• Remove or alter any copyright, trademark, or proprietary notice

• Reverse engineer, decompile, or attempt to derive the source code of any software component

All rights not expressly granted are reserved by Jade NursingPrep™ and its licensors. You acquire no ownership rights to any course content or materials.

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law or regulation

• Attempt to bypass, disable, or circumvent security, DRM, or access controls

• Use bots, scrapers, crawlers, or similar tools to extract, copy, or mass-download content or data

• Upload or share content that is unlawful, harassing, defamatory, obscene, hateful, or that infringes any third-party rights

• Interfere with or disrupt the proper operation of the Services, servers, or networks

• Collect or harvest personal information about other users without their consent

• Attempt to gain unauthorized access to any account, system, or network

• Engage in fraud, misrepresentation, or other deceptive practices

We may suspend or terminate your account, without refund, if we reasonably believe you have engaged in prohibited conduct or violated these Terms or applicable law.

6.1 Pricing and Payment

Pricing and payment details are shown at checkout and are subject to change at any time.

You authorize our payment processors (such as Stripe or PayPal) to charge your selected payment method for the full amount of any purchase, plus applicable taxes and fees. Payment is required before access is granted.

6.2 One-Time Purchases and Access Periods

One-time purchases typically include a fixed access period (for example, 6 months, 1 year, or lifetime). The applicable access period is displayed before purchase.

When the access period ends, your access to the relevant content may automatically expire.

6.3 Subscriptions and Recurring Billing

If you enroll in a subscription plan:

• You authorize automatic recurring charges to your payment method at the interval shown at checkout (such as monthly or yearly).

• Your subscription will automatically renew until you cancel.

• You can cancel future renewals at any time through your account settings or by contacting jade@jadenursing.com before the next billing date.

• Cancellation stops future charges; it does not automatically trigger refunds for amounts already paid.

After cancellation, you will retain access to subscription content until the end of the current billing period, unless otherwise stated.

6.4 Refunds

Refunds are governed by our separate Refund & Subscription Policy, which is incorporated into these Terms. In general:

• Digital course sales are final once you have accessed a significant portion of the content.

• A standard window allows refund requests within 7 calendar days of purchase if less than 20% of the course has been completed.

• Subscription renewal fees for the current billing period are generally non-refundable, except where required by law or as described in the Refund & Subscription Policy.
  

6.5 Chargebacks

You agree not to initiate chargebacks without first contacting us to attempt resolution.

If you initiate a chargeback:

• We may suspend your account while the dispute is investigated.

• We may recover chargeback fees and costs where permitted.

• Repeated or abusive chargebacks may result in permanent account termination and restricted future access.

Jade NursingPrep™ provides educational content designed to support nursing students and graduates in preparing for the NCLEX-RN®, NCLEX-PN®, and other nursing exams.

Our content does not:

• Provide medical advice, diagnosis, or treatment

• Create a nurse–patient or provider–patient relationship

• Replace professional judgment, institutional policies, or board of nursing regulations

Your exam results and licensure outcomes depend on many factors outside our control, including your prior education, study habits, exam conditions, and decisions made by testing and licensing authorities. We do not guarantee that you will pass any exam, obtain licensure, or secure employment.

NCLEX® trademark notice

NCLEX®, NCLEX-RN®, and NCLEX-PN® are registered trademarks of the National Council of State Boards of Nursing (NCSBN). Jade NursingPrep™ is independently owned and operated and is not affiliated with, endorsed by, or sponsored by NCSBN or any state or national nursing regulatory body. Any reference to these marks is for accurate identification and descriptive purposes only and does not imply any formal relationship or endorsement.

If the Services allow you to post comments, upload assignments, or otherwise submit content (“User Content”):

• You retain ownership of your User Content.

• You grant Jade NursingPrep™ a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in connection with operating, improving, marketing, and supporting the Services.

• You represent and warrant that you have the necessary rights to submit the User Content and that it does not violate any law or third-party rights.

We may remove User Content at our discretion and have no obligation to monitor User Content.

All course materials, videos, questions, explanations, logos, trademarks, and other content in the Services (the “Jade Content”) are owned by Jade NursingPrep™ or its licensors and are protected by copyright, trademark, and other laws.

You may not:

• Copy, distribute, modify, publicly display, publicly perform, or create derivative works from the Jade Content except as explicitly permitted by these Terms or applicable law

• Use Jade NursingPrep™ names or logos without our prior written consent

Unauthorized use may violate intellectual property laws and these Terms.

From time to time, Jade NursingPrep™ may work with affiliates, brand ambassadors, or influencer partners who promote our Services. Any statements, testimonials, or claims they make about our courses must comply with our written guidelines and applicable advertising and disclosure laws.

If you participate in an affiliate or influencer program with us, your participation is also subject to any separate affiliate or influencer agreement we provide. If there is a conflict between that agreement and these Terms, the affiliate or influencer agreement will control for matters related to that program.

The Services may link to or integrate third-party platforms and services (such as LearnWorlds, payment processors, analytics providers, video hosting, and social media).

Your use of third-party services is governed by their own terms and privacy policies. We do not control and are not responsible for third-party content, policies, or practices.

We are not liable for any loss or damage arising from your use of third-party services.

The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law:

• We do not make warranties or representations about the accuracy, completeness, or reliability of any content.

• We do not guarantee any specific test score, pass rate, licensure outcome, or career result.

• We do not warrant that the Services will be uninterrupted, secure, error-free, or free of viruses or other harmful components.

You are responsible for verifying any information before relying on it for clinical or professional decisions. You use the Services at your own risk.

To the maximum extent permitted by law:

• Jade NursingPrep™, its owners, employees, contractors, and affiliates will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of or inability to use the Services.

• Our total aggregate liability for any claim arising out of or related to the Services will not exceed the amount you paid for the course, subscription, or service that gave rise to the claim during the six (6) month period preceding the event.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

You agree to indemnify and hold harmless Jade NursingPrep™ and its owners, employees, contractors, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of:

• Your violation of these Terms

• Your violation of any law or third-party rights

• Your User Content

• Your use or misuse of the Services

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules.

Any dispute arising from or relating to the Services or these Terms will be resolved exclusively in the state or federal courts located in Hidalgo County, Texas, and you consent to the personal jurisdiction and venue of those courts.

Where permitted by law, you and Jade NursingPrep™ agree to:

• Waive any right to a jury trial; and

• Waive any right to participate in a class action, class arbitration, or other representative proceeding.

Jade NursingPrep™ is committed to making our online content reasonably accessible to learners with disabilities. We work in good faith to:

• Provide captions or transcripts for video content where feasible

• Include descriptive alt text for key images and diagrams

• Design our courses in alignment with widely recognized accessibility standards such as the Web Content Accessibility Guidelines (WCAG) and applicable disability laws

If you need an accommodation or encounter an accessibility barrier, contact us at jade@jadenursing.com or 1 (956) 553-0888. We will review your request and make reasonable efforts to provide support or alternative formats. Because technology and standards evolve over time, we cannot guarantee that every element of the Services will be fully accessible in all circumstances.

We may update these Terms from time to time.

When we do, we will revise the “Effective Date” at the top of this page. For material changes, we will provide notice via email or in-platform notification where feasible, generally at least 30 days before changes take effect.

Your continued use of the Services after updated Terms become effective means you accept the changes. If you do not agree, you must stop using the Services.
